1. Introduction
These Terms & Conditions ("Terms") govern your use of the OpenCoop platform ("Platform"), operated by OpenCoop ("we", "us", "our"), a software service provider based in Belgium. By creating an account or using the Platform, you agree to be bound by these Terms.
2. Definitions
"Cooperative" or "Coop" means an organization that uses the Platform to manage its shareholders, shares, and related operations.
"User" means any individual or entity that accesses or uses the Platform, including cooperative administrators, shareholders, and visitors.
"Data Controller" means the Cooperative that determines the purposes and means of processing personal data of its shareholders.
"Data Processor" means OpenCoop, which processes personal data on behalf of the Cooperative.
3. Account Creation
To use certain features of the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
4. Platform Usage
The Platform provides cooperative shareholder management tools, including share registration, transaction management, dividend administration, and document generation. You agree to use the Platform only for its intended purposes and in compliance with applicable laws.
5. Subscription Plans
The Platform offers various subscription plans with different features and limitations. Plan details, pricing, and billing terms are described on our pricing page. We reserve the right to modify pricing with 30 days' advance notice. Free trial periods, if offered, are subject to the conditions specified at the time of enrollment.
6. Data Handling & Responsibilities
The Cooperative acts as the Data Controller for all personal data of its shareholders processed through the Platform. OpenCoop acts as a Data Processor and processes such data only on behalf of and under the instructions of the Cooperative. A separate Data Processing Agreement (DPA) governs this relationship. OpenCoop maintains appropriate technical and organizational measures to protect the data.
7. Intellectual Property
All content, features, and functionality of the Platform, including but not limited to software, text, graphics, and logos, are the property of OpenCoop or its licensors. You may not reproduce, distribute, or create derivative works without our express written consent.
8. Liability Limitations
To the maximum extent permitted by Belgian law, OpenCoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from or related to these Terms shall not exceed the total amount paid by you to OpenCoop in the twelve (12) months preceding the claim.
9. Availability & Maintenance
We strive to maintain Platform availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime or service interruptions.
10. Termination
Either party may terminate this agreement at any time. You may close your account by contacting us at
[email protected]. We may suspend or terminate your access if you violate these Terms. Upon termination, the Cooperative may request an export of its data within 30 days.
11. Modifications to Terms
We may update these Terms from time to time. We will notify registered users of material changes via email or through the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of Belgium. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Belgium.
